All investors are equal, and executive investors should be treated no differently from all other investors in the company. As such, preferential treatment through the backdating of stock options is inappropriate and unethical. Spring-loading and bullet dodging are grounded on management’s inside knowledge of good and bad news that will have an impact on the company’s stock price. Their inside knowledge discriminates against all the other shareholders who do not know the good or bad news.

Utilitarianism or consequentialism argues that the ethically correct decision must be of benefit to most shareholders in the long term. Backdating stock options benefits the executive at the expense of the other shareholders. It is not in the best interest of the majority of the shareholders of the company. Spring-loading and bullet-dodging are only in the short-term interests of a minority of the shareholders (i. e., executive shareholders) and not in the best long-term interests of all the other (majority) shareholders.

From a deontological perspective, backdating and repricing are akin to lies because the intention is to manipulate and deceive the other shareholders. Deontology does not accept that the end justifies the means. Furthermore, it does not allow exceptions to a rule. Springloading and back-dating treat one category of shareholders (management) differently than the other category of shareholders (all the current and future shareholders). As such it is unlikely that everyone in society would accept as a universal rule that management should be given preferential treatment.

It is difficult to say that manipulating stock options, through any of these four tactics, is the sign of a virtuous person. Virtue ethics does not accept discrimination and prudential treatment of insiders as the mark of an ethical businessperson.

The conclusion of the article by Raiborn et al. is that the repricing of stock options may be legal but it is certainly unethical. Their concluding paragraph reads: Stock options were designed as a way to provide pay for performance, not to reward poor performance by backwards-looking repricing or backdating. Such activities undermine the incentive justification for use of stock option plans. Executives deserve compensation packages that provide both short-run benefits and a long run motivation to increase organizational value for all stakeholders. The first ethical argument in the case looks at backdating and repricing of employee stock options from a theory of justice viewpoint. This viewpoint holds that equals should be treated equally and that unequals are treated unequally in proportion to their inequalities.

As shareholders are all equal (regardless of who holds the shares), repricing options is not ethical under the theory of justice because it shows preferential treatment to employees and executives who have better insights on good and bad news affecting the company – and repricing according to that news discriminates against non-employee shareholders.

It has emerged despite all the measures (i. e., new regulations and additional corporate governance mechanisms) aimed at addressing such problems? Beyond such negative controlling measures, a more positive empowering approach based on ethics may also be necessary. What ethical measures need to be taken to address the agency problem? What values and norms should guide the board of directors in protecting the shareholders’ interests? To examine these issues, we first discuss the role values and norms can play with respect to underlying corporate governance and the proper role of directors, such as transparency , accountability , integrity (which is reflected in proper mechanisms of checks and balances ), and public responsibility . Second, we discuss various stakeholder approaches (e. g., government, directors, managers, and shareholders) by which conflicts of interest (i. e., the agency problem) can be addressed. Third, we assess the practice of backdating stock options, as an illustration of the agency problem, in terms of whether the practice is legally acceptable or ethically justifiable. Fourth, we proceed to an analysis of good corporate governance practice involving backdating options based on a series of ethical standards including: (1) trustworthiness; (2) utilitarianism; (3) justice; and (4) Kantianism. We conclude that while executive compensation schemes (e. g., stock options) were originally intended to help remedy the agency problem by tying together the interests of the executives and shareholders, these schemes may have actually become “part of the problem,” and that the solution ultimately depends upon whether directors and executives accept that all of their actions must be based on a set of core ethical values.
